1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and NeuroHack ("we," "us," or "our") governing your use of the NeuroHack mobile application (the "App").

By downloading, installing, or using the App, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the App.

2. Eligibility

You must be at least 17 years old to use the App. By using the App, you represent and warrant that:

• You are at least 17 years of age
• You have the legal capacity to enter into these Terms
• You will comply with these Terms and all applicable laws

If you are under 17 years old, you are not permitted to use the App under any circumstances.

3. Description of Service

NeuroHack is a mental wellness and brain training application that provides:

• AI-generated personalized daily "brain hacks" designed to improve mental clarity, focus, and overall wellness
• Progress tracking and streak monitoring
• Daily check-ins and wellness assessments
• Audio-narrated content for brain hacks
• Personalized recommendations based on your goals and preferences

The App is provided for personal, non-commercial use only.

4. Account and Authentication

4.1 Account Creation

When you subscribe to the App, an account is automatically created for you using Apple's receipt-based authentication system. Your account is tied to your Apple purchase receipt and can be restored on other devices using the same Apple ID.

4.2 Account Security

You are responsible for:

• Maintaining the security of your device and Apple ID
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

4.3 Account Information

You agree to provide accurate, current, and complete information during onboarding and to update such information as necessary to maintain its accuracy.

5. Subscription and Payment Terms

5.1 Subscription Plans

NeuroHack offers the following subscription options:

• Weekly Subscription: $2.99 per week
• Monthly Subscription: $9.99 per month
• Yearly Subscription: $29.99 per year

All subscriptions provide full access to the App's features and content.

5.2 Payment Processing

All payments are processed through Apple's In-App Purchase system. By purchasing a subscription, you agree to Apple's Terms of Service and acknowledge that Apple, not NeuroHack, processes your payment information.

5.3 Auto-Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel at least 24 hours before the end of the current period. Your Apple account will be charged for renewal within 24 hours prior to the end of the current period.

5.4 Managing Subscriptions

You can manage and cancel your subscription at any time through your Apple ID account settings. Subscriptions may also be managed in the App's Account section.

To cancel your subscription:

1. Open your device Settings
2. Tap your name at the top
3. Tap "Subscriptions"
4. Select NeuroHack
5. Tap "Cancel Subscription"

5.5 Price Changes

We reserve the right to modify subscription prices at any time. Price changes will not affect your current subscription period and will take effect at the start of your next renewal period. We will provide you with advance notice of any price changes.

6. Refund Policy

All purchases are processed through Apple's In-App Purchase system. Refund requests must be submitted directly to Apple through their refund request process:

To request a refund from Apple:

1. Visit reportaproblem.apple.com
2. Sign in with your Apple ID
3. Find your NeuroHack purchase
4. Select "Report a Problem" and follow the instructions

NeuroHack does not have the ability to process refunds directly. All refund decisions are made by Apple in accordance with their policies.

We do not offer refunds for:

• Partial subscription periods
• Unused portions of a subscription
• Subscriptions canceled before the end of the billing period

7. Free Trial (If Applicable)

We may offer a free trial period for new subscribers. If you begin a free trial:

• You will have full access to all App features during the trial
• Your subscription will automatically convert to a paid subscription at the end of the trial unless you cancel
• You must cancel at least 24 hours before the trial ends to avoid being charged
• Free trials are limited to one per user and cannot be combined with other offers

8. Acceptable Use

8.1 Permitted Use

You may use the App only for lawful purposes and in accordance with these Terms. You agree to use the App solely for your personal, non-commercial wellness and brain training activities.

8.2 Prohibited Activities

You agree NOT to:

• Share your account credentials or access with others
• Use the App for any commercial purpose without our express written permission
• Copy, reproduce, distribute, or create derivative works from the App's content
• Reverse engineer, decompile, or disassemble the App
• Use automated systems (bots, scrapers, etc.) to access the App
• Attempt to gain unauthorized access to the App, servers, or databases
• Interfere with or disrupt the App's functionality or servers
• Upload viruses, malware, or any malicious code
• Violate any applicable laws or regulations
• Harass, abuse, or harm other users
• Impersonate any person or entity
• Use the App in any way that could damage our reputation

9. Intellectual Property Rights

9.1 Our Rights

The App and all content, features, and functionality (including but not limited to text, graphics, logos, icons, images, audio clips, and software) are owned by NeuroHack or our licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

9.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

• Access and use the App on your personal device
• Access and use the content provided through the App for your personal, non-commercial use

This license does not include the right to:

• Resell or make commercial use of the App or its content
• Modify, reproduce, distribute, or publicly display any content from the App
• Use any data mining, robots, or similar data gathering tools

9.3 User Content

You retain ownership of any information you submit to the App (such as your name, goals, preferences, and check-in responses). By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process your content solely to provide and improve the App's services.

10. AI-Generated Content

The "brain hacks" and personalized content provided through the App are generated using artificial intelligence technology (OpenAI). You acknowledge and agree that:

• AI-generated content is created based on your personal information and preferences
• While we strive for accuracy and quality, AI-generated content may occasionally contain errors or inaccuracies
• The content is provided for informational and wellness purposes only
• You should use your own judgment when following any suggestions or recommendations
• We do not guarantee specific results from using the AI-generated content

11. Medical Disclaimer

You acknowledge and agree that:

• The App does not provide medical advice, mental health treatment, or therapy
• The content is not intended to diagnose, treat, cure, or prevent any disease or medical condition
• You should consult with a qualified healthcare professional before making any decisions related to your health
• If you are experiencing a mental health crisis or emergency, you should immediately contact emergency services or a mental health professional
• We are not responsible for any health outcomes resulting from your use of the App

12. Disclaimers and Limitations of Liability

12.1 "AS IS" Disclaimer

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that:

• The App will function uninterrupted, securely, or be available at any particular time or location
• Any errors or defects will be corrected
• The App is free of viruses or other harmful components
• The results of using the App will meet your requirements

12.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NEUROHACK, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
• ANY DAMAGES RESULTING FROM YOUR USE OR INABILITY TO USE THE APP
• ANY DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
• ANY DAMAGES RESULTING FROM THIRD-PARTY CONDUCT OR CONTENT

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

12.3 Basis of the Bargain

The limitations of liability set forth above are fundamental elements of the basis of the bargain between NeuroHack and you. The App would not be provided without such limitations.

13. Indemnification

You agree to defend, indemnify, and hold harmless NeuroHack and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use or misuse of the App
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations

14. Dispute Resolution and Arbitration

14.1 Informal Resolution

Before filing a claim, you agree to first contact us at contact.neurohack@gmail.com and attempt to resolve the dispute informally. We will attempt to resolve the dispute through good faith negotiations.

14.2 Binding Arbitration

If we cannot resolve the dispute informally, you and NeuroHack agree that any dispute, claim, or controversy arising out of or relating to these Terms or the App shall be resolved by binding arbitration, rather than in court, except that:

• You may assert claims in small claims court if your claims qualify
• You or NeuroHack may seek equitable relief in court for infringement of intellectual property rights

The arbitration will be conducted in accordance with the American Arbitration Association (AAA) Consumer Arbitration Rules.

14.3 Class Action Waiver

YOU AND NEUROHACK AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Unless both you and NeuroHack agree, no arbitrator or judge may consolidate more than one person's claims or otherwise preside over any form of a representative or class proceeding.

14.4 Opt-Out

You may opt out of the arbitration agreement by sending written notice to contact.neurohack@gmail.com within 30 days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out of the arbitration agreement.

15. Termination

15.1 Termination by You

You may stop using the App at any time. To cancel your subscription, follow the instructions in Section 5.4.

15.2 Termination by Us

We may suspend or terminate your access to the App at any time, with or without cause or notice, including if:

• You violate these Terms
• You engage in fraudulent or illegal activities
• Your subscription payment fails or is reversed
• We discontinue the App

15.3 Effect of Termination

Upon termination:

• Your right to use the App will immediately cease
• We may delete your account and all associated data
• You will not be entitled to any refunds (except as required by law)
• Sections that by their nature should survive termination will survive (including Sections 9, 11, 12, 13, 14, and 16)

16. General Provisions

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of California, without regard to its conflict of law provisions.

16.2 Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by:

• Posting the updated Terms in the App
• Updating the "Last Updated" date
• Sending you a notification (if we have your contact information)

Your continued use of the App after changes become effective constitutes your acceptance of the revised Terms.

16.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid or unenforceable provision will be deemed modified to the minimum extent necessary to make it valid and enforceable.

16.4 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

16.5 Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and NeuroHack regarding the App and supersede all prior agreements and understandings.

16.6 Assignment

You may not assign or transfer these Terms or your rights under these Terms, in whole or in part, without our prior written consent. We may assign these Terms at any time without notice.

16.7 Third-Party Beneficiaries

There are no third-party beneficiaries to these Terms. Apple is not a party to these Terms and has no obligations with respect to the App.

16.8 Force Majeure

We will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

16.9 Apple-Specific Terms

The following additional terms apply if you download the App from the Apple App Store:

• You acknowledge that these Terms are between you and NeuroHack only, not with Apple
• Apple has no obligation to furnish any maintenance or support services for the App
• Apple is not responsible for addressing any claims relating to the App or your possession and use of the App
• In the event of any third-party claim that the App infringes intellectual property rights, Apple will not be responsible for investigating, defending, settling, or discharging such claim
• Apple and Apple's subsidiaries are third-party beneficiaries of these Terms as they relate to your use of the App, and Apple will have the right to enforce these Terms against you
• You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and you are not on any U.S. Government list of prohibited or restricted parties
